By downloading or using the app, you automatically agree to these terms. Therefore, please carefully read them before using the app. It is not permitted to copy or modify the app, any part of the app, or our trademarks in any way. Attempting to extract the app’s source code, translating the app into other languages, or creating derivative versions is also prohibited. The app, along with all trademarks, copyrights, database rights, and other intellectual property rights related to it, remain the property of ExaEdge Co. Ltd.

ExaEdge Co. Ltd. is dedicated to optimizing the app’s usability and effectiveness. Consequently, we reserve the right to make changes to the app or to charge for its services at any time and for any reason. We will always inform you clearly of any associated costs before charging you for the app or its services.

Please note that certain responsibilities are not assumed by ExaEdge Co. Ltd. Some app functions require an active internet connection, which can be provided by either Wi-Fi or your mobile network provider. However, ExaEdge Co. Ltd. cannot be held responsible if the app does not function properly due to a lack of Wi-Fi connection or if you have exceeded your data allowance.

We may change or update our Terms and Conditions periodically. It is advisable to check this page regularly for any updates. We will notify you of any changes by posting the updated Terms and Conditions here. These changes will be effective immediately upon posting.

ExaEdge Co. Ltd. END-USER LICENSE AGREEMENT

This agreement is a legally binding contract between the User (you) and ExaEdge Co. Ltd. It is important to carefully review all terms and conditions, as well as the scope of services.

TERMS OF USE

• We, ExaEdge Co. Ltd., are pleased to provide you, the user, with our branded mobile applications and all accompanying documents.
• When you use or access ExaEdge’s Apps, you are agreeing to the terms stated in this agreement.
• Your use of the Services is also subject to ExaEdge’s Privacy Policy.
• ExaEdge has the right to update the Apps and make changes to the service whenever necessary.

PARTIES

• This Agreement is between ExaEdge Co. Ltd. and the User. By using the ExaEdge App, you are agreeing to all the terms mentioned in this Agreement.

GRANT OF LICENSE

• ExaEdge Co. Ltd. gives you a limited license to use the ExaEdge App according to the terms of this Agreement.
• You are not allowed to distribute the ExaEdge App in any way.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

• You must not use the ExaEdge App in a way that could harm, disable, overload, or impair it.
• You are not allowed to make the ExaEdge App available on a network.
• Users are prohibited from modifying the ExaEdge App or using it for any unauthorized purposes.

THIRD-PARTY PARTNERS

• The ExaEdge App may be integrated with or provided alongside third-party services.
• ExaEdge Co. Ltd. is not responsible for third-party services.

MODIFICATIONS TO THE SERVICE

• ExaEdge Co. Ltd. has the right to modify, suspend, or discontinue the Service at any time without any liability. We may also provide updates for the Service, which could include upgrades, bug fixes, patches, error corrections, and new features. These updates might change or remove certain features and functionality of the Service. Users understand that ExaEdge is not obligated to provide any updates or continue offering specific features or functionality. Users also acknowledge that updates may affect the Service’s performance and user experience.

SECURITY

• The ExaEdge App may not be 100% secure.
• You are responsible for ensuring the security of your device.

REGISTRATION AND PASSWORDS

• Some ExaEdge Apps may require you to create an account.
• It is your responsibility to keep your account details confidential.

UNINSTALL AND REMOVAL OF THE EXAEDGE APP

• The procedures for uninstalling the ExaEdge App may vary depending on your device.

CONSENT TO USE OF DATA AND USER REVIEWS

• We may collect and use technical data related to the ExaEdge App.
• User reviews may be made public.

INTELLECTUAL PROPERTY RIGHTS

• All intellectual property relating to the Services, which can be protected in any jurisdiction worldwide, is and will continue to be the exclusive property of ExaEdge Co. Ltd., its licensors, or third-party developers, if applicable.
• Users are only allowed to use ExaEdge’s trademarks and trade dress in accordance with these Terms and must obtain prior written consent from ExaEdge Co. Ltd. before using them in connection with any product or service.
• Users retain ownership of all artworks created with the assistance of the Service, including any related copyrights and other intellectual property rights, if applicable. When using the Service, users must contribute creative expression, such as by creating or selecting prompts or user inputs. Users acknowledge that artworks generated without creative input may not be eligible for copyright protection.
• Regardless of user creativity, ExaEdge Co. Ltd. does not guarantee the uniqueness, originality, quality, availability, or extent of copyright protection for any artwork created using the Service.
• By using the Service, you grant ExaEdge Co. Ltd. a worldwide, non-exclusive, non-sublicensable, royalty-free license to copy, reproduce, and display artworks you create using the Service for promotional purposes on the Service.

RIGHTS INFRINGEMENTS

• Users must respect the rights of copyright holders.

IN-APP PURCHASE AND PAYMENT

• The ExaEdge App is available on the Apple App Store with certain features that may require in-app purchases.

TERM AND TERMINATION

• This agreement is valid as long as you use the ExaEdge App.
• ExaEdge Co. Ltd. may terminate this agreement if you violate its terms.

INDEMNIFICATION

• You agree to compensate ExaEdge Co. Ltd. for any claims arising from your use of the ExaEdge App.

WARRANTY DISCLAIMER

• ExaEdge Co. Ltd. disclaims all warranties to the extent permitted by law.

LIMITATION OF LIABILITY

• ExaEdge Co. Ltd. is not responsible for any losses incurred or claimed by users in connection with their use of the Service, including losses due to intellectual property infringement.
• Any indirect, incidental, special, consequential, or punitive damages, such as loss of profits, data, use, goodwill, or other intangible losses, arising from various factors including access or inability to access the Service, third party conduct or content, use of Service-generated content, or unauthorized access to transmissions or content, are not the liability of ExaEdge Co. Ltd. This applies regardless of the legal basis of the claim (e.g., warranty, contract, tort) and even if we have been informed of the possibility of such damages and any provided remedy is deemed ineffective.

DISCLAIMERS

• The Service and its open-source components are provided without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and noninfringement. ExaEdge Co. Ltd. and its authors or copyright holders are not liable for any claims, damages, or liabilities arising from the use of the Service.
• ExaEdge Co. Ltd. disclaims all warranties arising from course of dealing, usage, or trade practice. The Service does not guarantee that it will meet users’ requirements, operate without interruptions, or be secure and error-free. ExaEdge does not guarantee that the Service does not infringe upon others’ intellectual property rights or that users’ artworks will be eligible for copyright protection. Users should be aware of the inherent security risks of providing information online.

FORCE MAJEURE AND APPLICABLE LAW

• ExaEdge Co. Ltd. is not responsible for failure to perform due to force majeure events.

ENTIRE AGREEMENT AND SEVERABILITY

These Terms constitute the entire agreement between you and ExaEdge Co. Ltd. These terms and conditions will be effective starting from August 6, 2024.
